The basics

What is a share?

The ownership of a company can be shared by many people and organisations. A share is a unit of ownership. When you own a share you become a part-owner (shareholder) of a company and you will have the right to receive any dividends paid on each share that you own, receive an electronic or paper copy or summary of the company's annual report and financial statements as well as any other shareholder communications. You will also have the right to attend, ask questions and vote at general meetings of the company.

 

What is a dividend?

A dividend is a sum of money that a company may pay its shareholders for each share they hold.  The amount of money paid out is decided by the company's Board of Directors and is based on the company's profits and need for funds.  There is no guarantee that a company will make dividend payments in any given year or years.   Old Mutual plc currently expects to pay a dividend twice a year.

 

What factors affect the share price of a company?

The share price will be influenced by a number of factors, some of which are outside the company's control.   The factors may include:

  • the performance and prospects of the company or the industry in which the company operates. In Old Mutual's case this is broadly the insurance and financial services industry;
  • political, general economic, financial and stock market conditions;
  • perceptions of investors about the above factors.

As with all listed shares, the share price of Old Mutual plc on any of the stock exchanges where it is listed can go up or down.  If you sell your shares, you may receive more or less than you originally paid for them.

 

What are the tax implications of keeping, selling or buying Old Mutual plc shares?

When does Old Mutual plc report its financial results?

We generally announce our half-year results in early August and our full-year results in February. The date of the next results announcement can be found in the Calendar section of this website.

 

How can I obtain a copy of the Annual Report and Accounts?

You can view an online version or download a PDF version of the Annual Report and Accounts from the Financial Reports section of this website. If you would like to receive a hard copy by post please register your request here. For South African shareholders, printed copies of the Annual Report and Accounts can be obtained by emailing your request, including your name, postal address and contact number to plccontacts@omg.co.uk.

 

Can I receive my shareholder communication electronically?

If you would like to receive future communications from the Company by e-mail, please go to the Electronic Communication section of this website and then follow the instructions for registration of your details.  In order to register, you will need your shareholder reference number, which can be found on the payment advice notice or tax voucher accompanying your last dividend payment or notification.  The number is also on forms of proxy (but not voting instruction forms) for Annual General Meetings and Extraordinary General Meetings.

Before you register, you will be asked to agree to the Terms and Conditions for Electronic Communication with Shareholders.  It is important that you read these Terms and Conditions carefully, as they set out the basis on which electronic communications will be sent to you.   If you choose to receive documents electronically, this instruction will generally remain in force unless and until you contact the Company's Registrars to terminate or change it. 

The use of the electronic communications facility described above is entirely voluntary.  If you wish to continue to receive communications from the Company by post, you do not need to take any action.

Electronic proxy appointment is generally available for General Meetings of the Company.  This enables proxy votes to be submitted electronically, as an alternative to filling out and posting a form of proxy.  Further details are set out on the forms of proxy.  Electronic submission is not, however, available for voting instruction forms.

 

When is the next Old Mutual Annual General Meeting?

The Annual General Meeting generally takes place in May of each year. The exact date can be found in the Calendar.

 

Dividends

When are dividends paid?

Old Mutual currently pays dividends twice a year.  Interim dividends are paid in November, in respect of the six months ended 30 June and final dividends are paid in May, in respect of the full year ended 31 December.  Dates for payment of the next dividend can be found in the Dividend section of this website.  Shareholders who have queries about their dividends should contact our Registrars, Computershare, on +44 (0) 870 702 0003.

 

Can I have my dividends paid directly into my bank or building society account?

Yes, this is possible. You need to complete a Bank Mandate form and send it to our Registrars.

 

My bank details have changed. What should I do?

You will need to complete a Change of Banking Details form and send it to our Registrars.

 

I haven't received my last dividend cheque. What should I do?

You should contact our Registrars, who will check the payment details and, if appropriate, issue a replacement cheque. To avoid this problem in future you may wish to consider having your dividends paid electronically into your bank or building society account.  To do so, you need to complete a Dividend Mandate form and send it to our Registrars.

 

I have found an out-of-date dividend cheque. What can I do?

Old Mutual plc dividend cheques are valid for six months from issue. If you have an out-of-date cheque, you need to return it to the Registrars and they will reissue it.  To avoid this problem in future, you may wish to consider having your dividends paid electronically into your bank or building society account.  To do so, you need to complete a Dividend Mandate form and send it to the Registrars.

 

Can I take my dividend in shares?

No, due to the disproportionate administrative costs involved we do not currently offer a scrip dividend alternative or dividend reinvestment plan.

 

How do I obtain a duplicate dividend tax voucher?

You should contact our Registrars, either in writing or by telephone, stating the date the dividend was paid, and a duplicate voucher will be supplied.

 

Shares and share dealing

How can I buy or sell Old Mutual plc shares?

You can buy and sell shares through a stockbroker or any bank that offers a share-dealing service.  Most high street banks offer these services.   Old Mutual does not recommend any particular share-dealing service.  If you are in any doubt about buying or selling Old Mutual shares, you should seek advice from an independent financial adviser. Old Mutual cannot provide such advice.

 

How can I confirm the details held about me on your share register or the number of Old Mutual plc shares I hold?

Computershare, our Registrars, provide the facility for you to check your registration details online.  You will need your Shareholder Reference Number for this purpose.

 

Where can I find my Shareholder Reference Number?

You can find your Shareholder Reference Number on the payment advice notice or tax voucher accompanying your last dividend payment or notification. The number is also on forms of proxy (but not voting instruction forms) for Annual General Meetings and Extraordinary General Meetings.

 

What do I do if I have changed my address?

You should complete a Change of Address form and return it to our Registrars, having followed the instructions on the form.   If you need assistance with completing the form or are unclear about the requirements, please contact our Registrars, who will be able to help you.

 

What do I do if I have changed my name?

You need to contact our Registrars,who will tell you what information and documents they need in order to effect the change.

 

My share certificate has been lost or stolen. What should I do?

You should notify our Registrars as soon as possible, either in writing or by telephone, so that a restriction can be placed on the holding in case anyone attempts to use your certificate fraudulently. You will then be sent a letter of indemnity, which must be completed and returned to the Registrars, so that a replacement certificate can be issued.  A fee will be payable for this to cover the administration costs involved.

 

My partner, or relative, has passed away. What should I do about their shareholding?

We recognise that this is a difficult time for you, but please contact our Registrars as soon as possible. The action you need to take depends on whether the shares were held in sole or joint names, and the Registrars will be able to help you with the documentation required and make the process as straightforward as possible for you.

 

How do I transfer my shares to someone else?

You will need to complete a Stock Transfer Form and return it to the Registrars, together with your share certificate, after it has been stamped (i.e. any stamp duty payable on the transfer has been paid) to arrange the transfer of ownership.  If you need assistance in completing the form or are unclear about the requirements, please contact the Registrars who will explain it to you. 

 

General

I am receiving two sets of Old Mutual plc communications. How can I stop this?

If shares have been bought at different times, the registration details provided to our registrars, Computershare, might differ slightly, resulting in two accounts having been created. To correct this duplication, please contact the Registrars directly.
